Article 1 (Purpose)

The purpose of these Terms and Conditions is to set forth the rights, obligations and responsibilities of the Company and Members, and matters concerning the procedures for Members' use of the services, in connection with the product sales services and other information services (hereinafter the "Services") provided by 명인랜드(주) (hereinafter the "Company") through the "명인랜드" internet shopping site (https://boardgame.shockping.com, hereinafter the "명인랜드 Site") and the "명인랜드" mobile application provided through mobile communication devices such as smartphones (hereinafter "Mobile 명인랜드").

Article 2 (Posting, Effect and Amendment of the Terms)

(a) The Company shall post these Terms on the initial screen (including linked screens; the same applies hereinafter) of the 명인랜드 Site through which the Services are provided, so that persons who wish to use the Services and Members may become aware of them.

(b) Where the Company amends these Terms, it shall specify the effective date of and the reasons for the amendment and give notice thereof, together with the current Terms, in the manner set out in paragraph (a) above from 7 days (or 30 days, where the amendment is unfavorable to Seller Members) before the effective date until the day before the effective date. The amended Terms shall not apply retroactively to any period before their effective date.

(c) These Terms constitute the basic agreement of the service use contract formed between the Company and Members. Where necessary, the Company may establish matters to be applied to specific services (hereinafter "Individual Terms") and give prior notice thereof. Where a Member agrees to such Individual Terms and uses the specific service, the Individual Terms shall apply with priority and these Terms shall have supplementary effect. Paragraphs (a) and (b) above shall apply mutatis mutandis to the posting and amendment of Individual Terms; provided, however, that the Company may post Individual Terms on the seller screen of the 명인랜드 Site.

Article 3 (Relationship with Relevant Laws)

(a) Matters not set forth in these Terms or the Individual Terms shall be governed by the provisions of relevant laws and regulations, such as the Telecommunications Business Act, the Framework Act on Electronic Commerce, the Act on Promotion of Information and Communications Network Utilization and Information Protection, etc., and the Act on Consumer Protection in Electronic Commerce, etc., and by general commercial practice.

(b) The meaning of any term used in these Terms that is not defined in paragraph (a) above shall be determined in accordance with general trade practice.

Article 8 (Service Use Contract)

(a) A contract for the use of the Services provided by the Company (hereinafter the "Use Contract") is formed when the Company accepts an application for use (application for membership) made by a person who wishes to use the relevant Services. The Company shall notify the applicant of its acceptance by posting it on the relevant service screen or by e-mail or other means.

Article 9 (Application for Use)

(a) A person who wishes to use the Services shall truthfully complete the application form provided online by the Company.

(b) A corporation shall apply for membership as a Business Member, and an individual business operator who wishes to use the Services in connection with its business shall also register as a Business Member. A person who wishes to register as a Business Member shall, at the Company's request, provide supporting documents, such as a business registration certificate, a certificate of seal impression, a certified copy of the corporate register, a certificate of corporate seal impression, a mail-order business registration certificate, and account information in the name of the representative or the corporation for settlement purposes, as well as additional information.

(c) In addition to the mandatory items referred to in paragraph (a) above, the Company may request applicants to provide information such as occupation, hobbies and areas of interest in order to provide Members with diverse and useful information; provided, however, that applicants may refuse to provide such information.

Article 10 (Acceptance of Application for Use)

(a) As a rule, where an applicant has accurately completed the mandatory items set forth in Article 9 and has agreed to these Terms, the Company shall accept the use of the Services after completing the real-name verification procedure prescribed in these Terms.

(b) In the case of applications for individual membership, the Company shall carry out the real-name verification procedure through a credit information company or a credit information collection agency available under applicable laws, and in the case of applications for business membership, through the supporting documents and the like provided at the time of registration. The Company may request supporting documents from the applicant with respect to any application for which the real-name verification procedure cannot be carried out.

(c) The Company may refuse to accept an application for use in any of the following cases.

1) Where the application is made by a person under the age of 14

2) Where the Company's real-name verification procedure confirms that the application is not made under the applicant's real name

3) Where the name and resident registration number (or business registration number or corporate registration number) are identical to those of an existing Member

4) Where a former Member whose Use Contract was terminated by the Company applies again for use

6) Where false information is entered in the mandatory items to be completed at the time of application

7) Where the application is otherwise confirmed to be in violation of these Terms, or to be unlawful or improper

(d) The Company may withhold acceptance of an application for use where there is insufficient capacity in its facilities, where there are technical difficulties, where it cannot be confirmed whether the application is made under the applicant's real name, where an applicant for business membership fails to provide supporting documents or additional information, or where the Company otherwise deems it necessary based on reasonable judgment.

Article 11 (Termination of the Use Contract)

(a) A Member or the Company may terminate the Use Contract in accordance with the procedures set forth in these Terms.

(b) A Member may terminate the Use Contract at any time by notifying the Company of the intention to terminate. The Company provides a procedure through which the Use Contract may be terminated online. However, a Buyer Member must complete, withdraw or cancel all purchase procedures in progress before giving notice of termination. In this case, the Member shall bear any disadvantage resulting from such withdrawal or cancellation. The Use Contract terminates when the Member's notice of termination reaches the Company. A Member who has terminated the Use Contract under this paragraph may register again as a Member in accordance with the membership registration procedures and related provisions set forth in these Terms; provided, however, that where a Member withdraws from membership and applies for re-registration for a wrongful purpose, the Company may restrict re-registration for a certain period.

(c) The Company may terminate the Use Contract where it is confirmed that grounds for refusing acceptance of an application for use exist with respect to the Member; where the Member registers for sale goods unsuitable for trade or engages or attempts to engage in transactions of goods contrary to public order and good morals; where the Member infringes the rights, honor, credit or other legitimate interests of the Company, other Members or any other person; where the Member engages or attempts to engage in acts that interfere with the smooth operation of the Services provided by the Company; where grounds arise that make normal use of the Services impossible or difficult, such as a ruling or declaration of adult guardianship, limited guardianship, rehabilitation or bankruptcy, death, declaration of disappearance, dissolution or default with respect to the Member; or where the Member otherwise acts in violation of these Terms or grounds for termination set forth in these Terms arise. In this case, the Company shall notify the Member of its intention to terminate, stating the grounds for termination, by e-mail, telephone, fax or other means, and may give the Member an opportunity to state its opinion on the grounds for termination in advance. The Use Contract terminates when the Company's notice of termination reaches the Member; however, where the Company is unable to give notice of termination due to errors in the contact information provided by the Member, the Use Contract terminates when the Company posts the notice of termination in the Member information section (My Page) of the 명인랜드 Site or Mobile 명인랜드.

(d) Any damage arising in connection with the termination of the Use Contract shall be borne by the Member whose Use Contract has been terminated, and the Company shall bear no liability whatsoever.

Article 12 (Collection and Protection of Member Information)

(a) In addition to the information provided by a Member for the Use Contract, the Company may collect and use necessary information from Members after disclosing the purpose of collection, the purpose of use and the like. In this case, the Company shall obtain the Member's consent to the collection and use of the information.

(b) Where the Company obtains a Member's consent to the collection and use of information, the Company shall specify or notify in advance the purpose of collection and the purpose of use of the information, and matters relating to the provision of information to third parties (the recipient, the purpose of provision and the content of the information provided).

(c) Members shall provide truthful information to the Company. In order to verify the accuracy of the information provided by a Member, the Company may request supporting documents to the extent permitted by relevant laws, and where the Member unjustifiably fails to provide such supporting documents, the Company may restrict the use of the Services or terminate the Use Contract.

(d) Except for information disclosed through service screens, such as IDs and nicknames, the Company shall not use the Member information it has collected for any purpose other than the purposes of collection and use disclosed at the time of collection, the smooth provision of the Services and the expansion of the Services provided, nor provide such information to any third party. Where a new purpose of use arises other than the purposes of use disclosed at the time of collection, or where the information is to be provided to a third party, the Company shall notify the relevant Member of such purpose and obtain the Member's consent at the stage of use or provision; provided, however, that this shall not apply where otherwise provided by relevant laws.

(e) The Company's person in charge of personal information management and his or her contact details are announced in the Personal Information Handling Policy separately published on the 명인랜드 Site and Mobile 명인랜드.

(f) Members may access information about themselves and may request the Company or the person in charge of information management to correct any erroneous information. Where a Member requests the correction of information, the Company shall not use the relevant information until it has taken the necessary measures, such as correcting the error or notifying the Member of the reasons why it cannot be corrected; provided, however, that this shall not apply where the provision of personal information is requested under other laws.

(g) The Company shall limit the number of administrators to a minimum in order to protect Member information, and shall be liable for any damage suffered by a Member where Member information is lost, stolen, leaked or altered, or unlawfully provided to a third party, due to the Company's intent or negligence.

(h) As a rule, upon termination of the Use Contract, the Company shall destroy the information of the relevant Member; provided, however, that the Company shall retain Member information in the following cases. In such cases, the Company shall use the retained Member information only for the purpose of such retention.

1) Where retention is required under the provisions of relevant laws, such as the Commercial Act and the Act on Consumer Protection in Electronic Commerce, etc., the Company shall retain Member information for the period prescribed by such laws.

2) For purposes such as protecting Members and the Company from cases where damage is caused to others through defamation or the dissemination of false information, the sale of goods infringing intellectual property rights, and other internet fraud, and cooperating with investigations conducted under legal procedures, the Company shall retain, for 2 months after the termination of the Use Contract, the minimum necessary information of Members who have a record of goods transactions, such as ID, nickname, name or trade name, contact details, address, and information relating to termination and suspension of membership.

3) In any other case where a retention period was specified when consent to the collection of information was obtained, the Company shall retain Member information until the end of such retention period.

(i) Where the Company needs to provide a Member's personal information to a third party, the Company shall obtain the Member's consent after specifying the items of personal information actually to be provided, the recipient, the recipient's purpose of use of the personal information, the period of retention and use, and the like; and where the Company entrusts the collection, handling, management or the like of personal information, it shall notify the Member in advance of matters such as the content of the entrusted work and the name of the entrustee, in writing, by e-mail, facsimile or telephone, or through its website, and obtain the Member's consent, or include such matters in the Personal Information Handling Policy and publish it on the 명인랜드 Site and Mobile 명인랜드.

(j) The Company shall publish its Personal Information Handling Policy concerning the protection and management of Member information on the 명인랜드 Site and Mobile 명인랜드 so that Members and persons who wish to use the Company's Services may become aware of it.

(k) When a Member handles the personal information of Buyer Members, the Member shall take all technical and administrative measures prescribed by relevant laws to prevent the loss, theft, leakage, alteration or damage of personal information. Members shall limit the persons who handle users' personal information to a minimum, and shall, without delay, destroy any personal information whose purpose has been fulfilled so that it cannot be restored or reproduced.

Article 13 (Changes to Member Information)

(a) Where any information entered at the time of the application for use is incorrect or has changed, the Member shall immediately correct such information. However, as a rule, the ID, nickname, resident registration number (business registration number or corporate registration number) and name may not be modified. At the Company's request, the Member shall immediately provide supporting documents concerning the modifications.

(b) A notice from the Company to a Member shall be deemed to have been given when it reaches the address or e-mail address entered in the Member information, or reaches the mobile phone number entered in the Member information through an electronic notification method such as a notification message (AlimTalk). Any damage arising from the Member's failure to correct the Member information despite a change therein, or from an incorrect correction, shall be borne by the relevant Member, and the Company shall bear no liability therefor. In addition, where a Member causes damage to the Company by failing to correct changed information or by entering false information, the Member shall be liable to compensate for such damage.

(c) Notwithstanding paragraph (a) above, where a Member has completed mobile phone number verification, the verified mobile phone number shall be applied as the Member information.

Article 14 (Management of ID and Nickname)

(a) Members are responsible for the management of their ID, nickname and password, and may not transfer or lend their ID, nickname or password to any other person.

(b) The Company shall bear no liability for any loss or damage resulting from the leakage, transfer or lending of an ID, nickname or password that is not attributable to the Company.

(c) Where a Member becomes aware that his or her ID, nickname or password has been stolen or is being used by a third party, the Member shall immediately notify the Company and shall follow the Company's instructions, if any.

Article 15 (Suspension of Services)

(a) The Company may temporarily suspend the provision of the Services where it is impossible to provide the Services due to technical failures beyond its control, causes attributable to third parties such as facilities-based telecommunications business operators, natural disasters, national emergencies or the like.

(b) Where the Company suspends the Services under this Article, it shall announce or give notice of such fact through the seller page, e-mail or other means; provided, however, that in cases such as technical failures, notice may be given after the fact.

Article 16 (Rights and Obligations of the Company)

(a) The Company shall make its utmost efforts to provide the Services continuously and stably in accordance with these Terms.

(b) Where the Company deems complaints and service problems raised by Members to be justified, it shall resolve them with priority, and where prompt resolution is difficult, it shall inform the Member of the reasons and the handling procedure.

Article 17 (Prohibited Acts of Members)

Members shall not engage in any of the following acts, and where a Member violates this provision, the Company may take measures such as suspension of the use of the Services and termination of the Use Contract.

2) Any act associated with criminal activity and any other act in violation of relevant laws

3) Causing harm to others or the Company through hacking, the distribution of computer viruses, attacks on servers or the like

4) Transmitting large amounts of information for the purpose of interfering with the stable operation of the Services, or continuously transmitting advertising information against the will of the recipient

5) Using the Services for any purpose other than mail-order sales

6) Any act that may interfere with or cause disruption to the Company's Services

7) Transferring or donating to another person, or providing as security, any rights or obligations under these Terms without the Company's prior written consent

Article 18 (Protection of Intellectual Property Rights and Reporting of Infringement, etc.)

(a) Where the intellectual property rights of a third party are to be used, they shall be used only after obtaining permission for such use from the relevant right holder, and no intellectual property rights of third parties, including trademark rights, patent rights, copyrights, rights of name and portrait rights, shall be infringed in connection with the registration, sale or the like of products.

(b) Where a third party claims an infringement of rights with respect to any information registered or used by a Member on the Services, the Company may take measures such as deleting such information and restricting its re-registration.

(c) In connection with the preceding paragraph, the Company may request the Member to submit explanatory materials, and the Member shall actively cooperate therewith; provided, however, that where the materials submitted by the Member are not materials recognized by the Company, such as a final and conclusive court judgment, the Company may maintain the deletion of the product and the restriction on its registration.

(d) Where a dispute with a third party arises in connection with information registered by a Member on the Services, the Member shall hold the Company harmless and compensate for any damage arising therefrom.

Article 19 (Rights of the Company)

The Company shall determine on its own the types and range of the goods it sells, the sales prices, the terms of transaction and the like. In addition, the Company may set forth, in its terms and conditions or otherwise, matters concerning the prevention of damage to Buyers, such as the method of payment for products and the method of delivery of products.

Article 20 (Obligations of the Company)

(a) The Company shall provide identity information, register goods for sale, manage the transaction process, perform transactions for Buyers, deliver goods, and carry out follow-up processing such as withdrawal of orders or returns, in accordance with the procedures set forth in these Terms and in the Individual Terms announced in advance by the Company through service screens.

(b) The Company shall respond in good faith to Members' questions through [Product Inquiry] in the product details section.

(c) Where a Buyer requests cancellation of a purchase, the Company shall comply with such request and cancel the requested transaction.

(d) The Company shall retain the records specified in relevant laws, such as the Act on Consumer Protection in Electronic Commerce, etc., in connection with transactions on the 명인랜드 Site and Mobile 명인랜드.

(k) The Company shall not be liable where the personal information of other Members being handled and processed is infringed without any intent or negligence on the part of the Company.

Article 21 (Goods Unsuitable for Trade)

(a) Where registered goods are unsuitable for online trade or distribution, such as goods unsuitable for trade, the Company may delete, cancel or suspend the registration of such goods on its own authority or at the request of a person claiming rights.

(b) Where registered goods violate laws or these Terms, undermine public order and good morals, or are related to or intended for any other evasion of the law, or where necessary under the Company's policies, the Company may delete, cancel or suspend them on its own authority.

Article 22 (Delivery)

(a) Once payment for a Buyer Member's order has been completed, the Company shall take measures to enable the order information to be checked, and shall, in accordance with such order information, package the product appropriately so that it is not damaged and then entrust its delivery to a logistics agency (courier) capable of proving or tracking delivery.

(b) The Company shall complete the shipment of the product within 3 business days from the date of payment (provided that, for products for which the Member has set separate delivery conditions, such conditions shall apply), and shall prove that the shipment has been completed by entering shipping-related information, such as the waybill number, on My Page.

(c) Where the product cannot be shipped within the period set out in the preceding paragraph, the Company shall notify the user of the reason for the delay and the expected shipping date using the notification function of My Page; where no shipment delay notice is processed, or where the expected shipping date entered when processing the shipment delay notice is exceeded, the relevant order may be refunded upon the Buyer's request for cancellation. However, the main text of this paragraph may not apply to products for which the Company has set separate delivery conditions.

(d) Where a Buyer Member fails to receive the product normally due to an error in the delivery address or the like without any cause attributable to the Buyer Member, or where a defect occurs in the course of delivery of the product, the Company shall bear all responsibility therefor.

(e) The Company may provide services such as delivery status inquiry, waybill printing and return courier networking through business partnerships with third parties.

Article 23 (Cancellation, Return and Exchange)

(a) When the Company becomes aware that it is difficult to supply a product ordered by a Buyer Member, it shall immediately notify the Buyer Member of such fact by telephone and cancel the order after obtaining the Buyer Member's consent, and the Company shall refund the product price and take the measures necessary for the refund within 3 days from the date on which the Buyer Member paid for the product.

(b) Where a Buyer Member cancels an order because 3 business days have elapsed from the payment completion date while the order remains in "order confirmed" status, because the expected delivery date entered when processing the shipment delay has passed, or because separate delivery conditions have not been observed, the relevant order shall be automatically refunded. However, where the product is in transit, the return procedure, rather than cancellation, shall apply.

(c) The Company shall make a refund or take the measures necessary for a refund within 3 business days from the date of receipt of the returned product. Any order for which no action has been taken within 3 business days may be automatically refunded.

(d) Where return shipping costs must be charged to the Buyer Member, such as in the case of a return due to a simple change of mind, the Company may withhold the processing of the return through the refund hold function on My Page.

(e) In the case of a return or exchange not attributable to the Buyer Member, such as a product defect or incorrect delivery, the Company shall not charge the relevant shipping costs to the Buyer Member, and shall, at the Buyer Member's request, reimburse any additional cash-on-delivery shipping fee paid by a Buyer Member who prepaid the return shipping costs when sending the returned product.

(f) A Buyer Member may request a return within 7 days from the date of completion of delivery of the product, and where the Buyer Member requests a return or exchange within this period, the Company shall make the return or exchange at the Buyer Member's request. However, exceptions apply where the product has been damaged due to causes attributable to the Buyer Member; where the value of the product has significantly decreased due to use or partial consumption; where the packaging of a reproducible product has been damaged; where, in the case of products individually manufactured according to the Buyer Member's order or the like, restrictions on returns or exchanges were expressly notified at the time of sale and the Buyer Member's consent was obtained; and where returns are otherwise restricted by law. In addition, where the product differs from its labeling or advertised content, the Company shall accept a return or exchange if the Buyer Member requests it within 90 days after receiving the product, or within 30 days from the date on which the Buyer Member became aware, or could have become aware, of such fact.

(g) The Company shall regularly check return requests made through Product Q&A, My Page, telephone or the like, and take the necessary measures.

(h) Where the Company intends to restrict a Buyer Member's withdrawal of an order within the scope prescribed by the Act on Consumer Protection in Electronic Commerce, etc. (hereinafter the 'E-Commerce Act'), it shall post the grounds for restricting returns in a place where the Buyer Member can easily find them, such as the product page.

(i) In the case of products delivered by the Company itself, such as through its own logistics or direct furniture delivery, the Company shall, at the time of the initial delivery, accurately inform the Buyer Member of the procedures for withdrawal of orders and returns in accordance with relevant laws such as the E-Commerce Act.

(j) The Company shall enter the exact reason when processing the cancellation or return of an order.

(k) Where a Buyer Member requests an exchange or refund after receiving a product, the Company shall, in accordance with relevant laws, receive the returned product and then make the exchange or refund or take the measures necessary for a refund, and any additional costs incurred shall be borne by the party responsible for the exchange or refund.

(l) Where a product has a defect or a defect in safety in use, the Company shall recall (repair, exchange or refund) all units of the product and shall bear all costs arising from the recall.

(m) Where, despite a Buyer Member's request for order cancellation, exchange or return, the product is not smoothly collected due to causes attributable to the Company, such as failure to set, or incorrect setting of, a courier, the courier designated by the Company may be set as the return and exchange courier. However, the Company may change the return and exchange courier again at any time through My Page.

(n) The Company shall take the necessary measures so that the smooth delivery and the processing of cancellation, return or exchange of an order can be completed within 90 days from the date of the order.

Article 24 (Penalties and Suspension of Membership)

(a) In order to enhance the safety and reliability of transactions conducted through the Services, the Company may suspend a Member's membership or restrict the use of the Services in accordance with these Terms.

1) Suspension of membership and imposition of disadvantages in accordance with penalties

2) Suspension of use due to fraudulent transactions, violation of the rules of use, or other unlawful or improper acts

Article 25 (Compensation for Damages)

Where the Company or a Member violates these Terms for reasons clearly attributable to it and thereby causes damage to the other party or to other Members, the party at fault shall be liable to compensate for such damage.

Article 26 (Competent Court)

Where a lawsuit to which the Company is a party is filed concerning disputes over these Terms, the service use contract between the Company and Members, or disputes between Members, the court having jurisdiction over the location of the Company's head office shall be the court of exclusive agreed jurisdiction.
